The General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.

The Opportunity As an Assistant General Counsel for Technology and Managed Services you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients. This includes drafting, updating and negotiating client‑facing complex, multi‑year agreements, outsourcing, systems implementation, application development & maintenance, software licenses and software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, and other emerging technologies. You will work closely with other GCO groups in the United States and in other jurisdictions.

Your Key Responsibilities

Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and maintaining up‑to‑date knowledge of relevant legal developments.

Advising on key legal risks associated with the technology underpinning Managed Services Agreements.

Collaborating closely with US GCO members and local counsel in other EY member firms.

Coordinating legal resources on managed services projects.

Assisting with coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as needed.

Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.

Understanding existing EY policies and developing or enhancing policies and guidance relevant to managed services and other technology services.

Managing workflow in a highly dynamic environment and remaining responsive, reliable, communicative, and accountable to team leadership.

Building relationships within GCO and across Legal Practice Groups to deliver exceptional service to GCO clients.

Developing and delivering training on Technology & Managed Services Agreements and sharing best practices across the legal network and business.

To Qualify, Candidates Must Have

8+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.

Experience negotiating across client internal counsel, outside law firms, and procurement.

Experience developing contracting templates, playbooks and standards.

Experience in data privacy, intellectual property law and the use of technology in Managed Services Agreements.

Experience with cross‑border contracting, including employee matters such as auto‑transfer laws and data transfer.

Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI, etc.) and explain related legal and business risks.

Excellent communication, negotiation and interpersonal skills.

High cultural and emotional intelligence, resilience, flexibility, and ability to adapt to changing circumstances.

Ability to work independently and effectively with colleagues in other functions and geographic locations.

Proficiency in articulating complex legal and contractual principles from both legal and commercial perspectives.

Highly responsive with ability to manage high workloads and competing priorities.

Solution‑oriented with focus on exceptional client service.

Managed services counsel experience in a technology or consulting organization, leading negotiations.

Bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

Membership in a State Bar and good standing with applicable continuing legal education requirements.
