Assistant General Counsel, Technology and Managed Services – Senior Manager

Key Responsibilities
Draft, update, and negotiate client‑facing Technology & Managed Services Agreements and related contracts.
Advise on key legal risks associated with managed services technology.
Collaborate with US GCO members and local counsel in other EY member firms.
Coordinate legal resources on managed services projects.
Support coordination with cross‑functional teams (Data Privacy, Talent, Information Security, Tax).
Ensure contractual documentation protects EY interests.
Develop and enhance policies and guidance relevant to managed services.
Manage workflow in a dynamic environment; remain responsive, reliable, communicative, and accountable.
Build relationships and team seamlessly within GCO and its practice groups.
Develop and deliver training on Technology & Managed Services Agreements.
Qualifications
8+ years of complex services and technology‑related transactional experience.
Hands‑on experience negotiating with internal counsel, outside law firms, and procurement.
Proficient at developing contracting templates, playbooks, and standards.
Experience in data privacy, intellectual property law, and technology provision.
Cross‑border contracting experience.
Deep knowledge of current and new technologies (cloud, AI) and ability to explain legal‑business risks.
Excellent communication, negotiation, and interpersonal skills.
High cultural and emotional intelligence with resilience and flexibility.
Ability to work independently and in teams across geographic locations.
Strong understanding and documentation of complex legal and contractual principles.
Highly responsive to high workloads and competing priorities.
Solution oriented with focus on client service.
Managed services counsel experience in technology or consulting roles.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Active membership in a state bar and good standing.
