Overview
Become a key member of EY’s General Counsel Office (GCO) as Assistant General Counsel, Technology and Managed Services – Senior Manager. In this role you will advise, counsel, and support EY clients on complex, multi‑year managed services, outsourcing, and software‑as‑a‑service agreements, collaborating closely with GCO partners across the United States and other jurisdictions. Key Responsibilities
Draft, update, negotiate and advise on client‑facing Technology & Managed Services Agreements, including contractual strategy, risk mitigation and keeping abreast of legal developments. Advisory on legal risks associated with the technology underpinning Managed Services Agreements. Collaborate with US GCO members and local counsel in other EY member firms to coordinate legal resources. Support cross‑functional coordination with Data Privacy, Talent, Information Security and Tax teams where appropriate. Ensure accuracy and sufficiency of contractual documentation to protect EY interests and develop, enhance and document policies relevant to managed services and other technology services. Manage workflow in a dynamic environment, remaining highly responsive, reliable, communicative and accountable to team leadership. Build relationships and team seamlessly with other GCO members to deliver exceptional service. Develop and deliver training and knowledge sharing on Technology & Managed Services Agreements. Qualifications
8+ years of relevant complex services and technology‑related transactional experience, including drafting and leading negotiation of Technology & Managed Services Agreements. Experience negotiating across client’s internal counsel, outside law firms and procurement teams. Experience developing contracting templates, playbooks and standards. Strong knowledge of data privacy, intellectual property, and the use and provision of technology in the context of Technology & Managed Services Agreements. Experience with cross‑border contracting (including employee matters, auto‑transfer laws, local country agreements and cross‑border data transfer). Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI) and explain related legal and business risks in a practical manner. Excellent oral and written communication, negotiation and interpersonal skills. High degree of cultural and emotional intelligence, resilience, flexibility and adaptability to changing circumstances. Ability to work independently and team effectively with colleagues in other functions and geographic locations. Juris Doctor from an accredited law school and membership in a State Bar (in good standing with continuing legal education requirements). What We Offer
