Assistant General Counsel, Technology and Managed Services – Senior Manager
EY invites experienced legal professionals to join the General Counsel’s Office (GCO) in the Technology & Managed Services group. The role focuses on advising and negotiating complex, multi‑year managed services, outsourcing, system implementation, application development, software licenses, SaaS, AI, big data, cloud computing, and related technology agreements for EY clients.
Key Responsibilities
Draft, update, and negotiate client‑facing Technology & Managed Services agreements, advising on contractual strategy and risk.
Advising on legal risks associated with the technology underpinning managed services agreements.
Collaborate closely with U.S. GCO members and local counsel in EY member firms.
Coordinate legal resources on managed services projects and support cross‑functional teams (Data Privacy, Talent, Information Security, and Tax).
Ensure contractual documentation protects EY interests and develop/enhance policies relevant to managed services and technology services.
Manage workflow in a high‑volume environment, remaining responsive, reliable, and accountable to leadership.
Build relationships and teamwork within GCO and Legal Practice Groups to deliver exceptional service to clients.
Develop and deliver training on Technology & Managed Services agreements and best practices across the legal network.
Qualifications
8+ years of complex services and technology‑related transactional experience, including drafting and negotiating technology & managed services agreements.
Experience negotiating with client internal counsel, outside law firms, and procurement.
Experience developing contracting templates, playbooks, and standards.
Experience in data privacy, intellectual property, and technology use in the context of technology & managed services agreements.
Cross‑border contracting experience (e.g., employee matters, data transfer).
Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain related risks.
Excellent oral and written communication, negotiation, and interpersonal skills.
High‑degree cultural and emotional intelligence, resilience and adaptability.
Independent work ability and effective teamwork across functions and geographies.
Juris Doctor from an accredited law school and admission to a state bar.
Good standing with the applicable state bar, including current continuing legal education.
