Senior Paralegal – Corporate & Securities (M&A, Finance, Capital Markets)
Job Location: Midtown NYC | Hybrid (3 days in office).
Base Pay: $100,000.00/yr – $150,000.00/yr.
Overview Lead paralegal role supporting Corporate & Securities practice with a strong focus on leveraged finance. This is a working manager position: you’ll handle complex deal work while supervising and training junior paralegals.
Key Responsibilities
Deal Support : Conduct and review UCC/lien searches; draft summary charts. Prepare, review, and file UCC filings; maintain tickler system for amendments and continuations. Assist with entity formation, organizational documents, and statutory filings (mergers, conversions, dissolutions). Draft resolutions, certificates, schedules, and closing documents; assist with due diligence.
Program Management : Supervise and train junior paralegals on UCC and corporate processes. Manage assignments and workflow for the paralegal team. Support performance reviews and foster professional development.
Qualifications
7+ years experience as a corporate paralegal in a law firm (required).
Strong proficiency with UCC filings, searches, and lien requirements.
Deep understanding of leveraged finance transactions.
Bachelor’s degree and/or Paralegal Certificate.
Excellent organizational, communication, and problem‑solving skills.
Ability to manage multiple priorities in a fast‑paced environment.
Proficiency in Microsoft Office and document management systems.
