Corporate Paralegal . The Corporate Paralegal will provide comprehensive legal support to the attorneys in the firm's corporate section. This role involves

assisting with entity formation and maintenance, corporate governance, transactional closings, and document management . The ideal candidate is detail-oriented, proactive, and experienced in handling a broad range of corporate legal matters within a law firm environment. Salary ranges from $80,000 - $95,000 DOE and discretionary year end bonus After 90 day probationary period, eligible to work 2 days from home Paid parking Standard Medical, Dental, Vision

Bachelor's degree, Paralegal Certificate and/or equivalent experience preferred. 5+ years of Corporate Paralegal experience , preferably in a

mid-to-large size law firm. Strong understanding of corporate law, entity structures, and state filing procedures . Proficient with Microsoft Office Suite

and document management software ( NetDocs, etc.) Excellent organizational, analytical, and communication skills. Ability to manage multiple projects simultaneously and meet deadlines in a fast‑paced environment. High attention to detail and strong commitment to accuracy and professionalism. Excellent interpersonal and customer service skills. Ability to maintain confidentiality, and to exercise discretion and good judgment. Responsibilities

Prepare and file formation documents for corporations, limited liability companies, and partnerships

in various jurisdictions. Maintain corporate records, minute books, stock ledgers, and related entity management databases . Draft and file annual reports, qualifications, amendments, dissolutions, mergers, conversions, and other corporate filings . Assist with due diligence, including ordering UCC, lien and litigation searches , reviewing and summarizing corporate documents and contracts. Prepare closing binders, signature pages, and coordinate execution of transactional documents. Support attorneys

by organizing and tracking

deliverables and timelines. Conduct research using the Secretary of State and other government databases. Draft and file UCC Financing Statements and amendments. Communicate with clients, registered agents, and government agencies to obtain and provide required information. Ensure compliance with filing deadlines and assist with good standing in all jurisdictions. Assist with preparation of board and shareholder resolutions, consents, and meeting minutes.
