Overview Lead paralegal role supporting Corporate & Securities practice (M&A, finance, capital markets) with a strong focus on
leveraged finance . This is a
working manager position : you’ll handle complex deal work while supervising and training junior paralegals.
Key Responsibilities
Deal Support: Conduct and review UCC/lien searches; draft summary charts.
Prepare, review, and file UCC filings; maintain tickler system for amendments and continuations.
Assist with entity formation, organizational documents, and statutory filings (mergers, conversions, dissolutions).
Draft resolutions, certificates, schedules, and closing documents; assist with due diligence.
Program Management
Supervise and train junior paralegals on UCC and corporate processes.
Manage assignments and workflow for the paralegal team.
Support performance reviews and foster professional development.
Qualifications
7+ years’ experience as a corporate paralegal in a law firm (required).
Strong proficiency with UCC filings, searches, and lien requirements.
Deep understanding of leveraged finance transactions.
Bachelor’s degree and/or Paralegal Certificate.
Excellent organizational, communication, and problem‑solving skills.
Ability to manage multiple priorities in a fast‑paced environment.
Proficiency in Microsoft Office and document management systems.
