As an Associate in our Corporate Transactions group, you will drive high-impact deals while leveraging AI agents to streamline drafting, diligence, and execution. You’ll collaborate closely with partners, clients, and technology teams to deliver efficient, data‑driven legal services across securities offerings and corporate governance. In This Role, You’ll Support
Document Drafting & Review: Use AI agents to generate, compare, and redline offering memoranda, purchase agreements, board materials, disclosure documents, and regulatory filings. Due Diligence: Employ AI tools for rapid document review, key term extraction, and drafting client‑facing due diligence memos. Deal Execution: Integrate AI agents into workflow management, signing and closing checklists, and coordination with counterparties. Client Advisory: Demonstrate how AI‑assisted workflows improve accuracy, transparency, and deal velocity. Collaboration with Tech: Work with technology teams to continually enhance the deal process using AI. Skills & Experience
Juris Doctor (JD) with active bar admission in at least one U.S. jurisdiction. 5‑7 years of experience in venture capital and private equity capital markets transactions. Strong drafting and communication skills with meticulous attention to detail. Interest in applying technology to enhance traditional deal workflows. No prior AI or technical experience required. What Success Looks Like
30 Days: Learn the firm AI platforms and begin supporting deal teams with AI‑enabled review and drafting. 60 Days: Independently manage discrete components of deals with AI support. 90 Days: Lead AI‑augmented workstreams in live transactions, improving efficiency and accuracy in document management and closing processes. Compensation & Benefits
$175,000 – $225,000 per year plus equity. The range reflects the minimum and maximum target for new hires in this role. Base salary is determined by qualifications, experience, and education.
