Responsibilities

Assist Corporate Paralegal and other Legal Team members with administrative support for litigation, document review, and contractual activities.

Coordinate with the registered agent vendor to file Annual Reports and dba/domestic/foreign registrations in accordance with deadlines.

Serve as the Governance Entity Management Software (GEMS) administrator – manage corporate books, keep officer appointments current, update entity registrations, and upload corporate documents.

Maintain contract files, scan and upload into GEMS, and archive paper files.

Organize and retain legal files in compliance with document retention policies.

Collaborate with Paralegal, Executive Assistant, and external vendors on projects that enhance Legal Department efficiency.

Assist with manufacturer, distributor, converter, and license renewal processes for subsidiaries.

Assist with M&A activities and credit agreement maintenance.

Support the General Counsel with special projects as directed.

Back‑up the Executive Assistant to the CEO – manage incoming calls and route them appropriately.

Perform routine administrative duties as required.

Ideal Candidate

Proficient with Microsoft Office and legal software such as GEMS.

Detail‑oriented with the ability to balance multiple priorities.

Knowledge of attorney‑client and attorney‑work product privilege.

Ability to build relationships with executives, managers, vendors, and customers.

Education and Experience

High School graduate or GED required; some college coursework in business, administration, or law preferred.

Five or more years of legal or administrative support experience, preferably in a corporate legal department or senior‑management setting.

Or equivalent combination of education and experience.

Working Conditions This position is primarily an indoor office role with frequent sitting. Occasional lifting or moving of up to 10 pounds may be required. The role requires manual and visual dexterity to operate standard office equipment.
