Associate Attorney
to join its internationally-recognized and rapidly expanding
M&A Practice in
New York , with a focus on
complex distressed transactions (link removed) This role offers the unique opportunity to work at the intersection of M&A and financial restructuring, representing top-tier private equity firms, creditors, and corporate clients in high-stakes, cross-border distressed deals.

JD
from a
top-tier law school
with an
excellent academic record (link removed)> Active Bar Admission
in
New York , in good standing.
3-6 years
of substantive experience in
distressed M&A or restructuring-related transactional work(link removed)> Strong background in
representing buyers and sellers
in
distressed asset sales , including
363 sales ,
out-of-court restructurings , and
bankruptcy-related M&A(link removed)> Experience advising on complex capital structures and navigating stakeholder negotiations.
Familiarity with the
U.S. Bankruptcy Code ,
intercreditor arrangements , and
secured lending principles (link removed)> Proven ability to handle multiple matters simultaneously with sound judgment and a commercial mindset.
Soft Skills: Strong drafting, negotiation, and analytical skills. The ideal candidate works well on a team and has an entrepreneurial spirit.
Key Responsibilities
Draft and negotiate key transaction documents , including purchase agreements, restructuring support agreements, and related ancillary documents.
Advise on all phases of distressed M&A transactions, from initial diligence and structuring through closing, across a variety of industries and jurisdictions.
Represent private equity firms ,
institutional investors , and
corporate clients
in distressed transactions involving
bankrupt and insolvent counterparties (link removed)> Analyze and advise on
risk allocation ,
asset acquisition strategies , and
bankruptcy protections
in distressed deal structures.
Work closely with the firms leading financial restructuring practice to deliver integrated, strategic counsel to clients.

Compensation & Benefits
Highly Competitive Salary :
$260,000
$390,000 , commensurate with experience.
