CORPORATE ASSOCIATE ATTORNEY
DATA AND TECHNOLOGY TRANSACTIONS

Our client, a Top-10 AmLaw firm , is seeking a talented Associate Attorney to join its Corporate Data and Technology Transactions Practice in Boston or Century City . This position offers an exciting opportunity for a mid-level associate attorney to advise on sophisticated technology and IP transactions across a range of industries and business models.
Candidate Profile
* JD from a top-tier law school with an excellent academic record .
* Active Bar Admission in the relevant jurisdiction , in good standing, or eligibility to waive in.
* 3+ years of substantive experience in technology and intellectual property (IP) transactions .
* Strong background negotiating and drafting agreements such as technology licensing , development , distribution , consulting services , website and mobile application terms of use , and strategic alliances .
* Experience advising on IP-related aspects of corporate transactions , including mergers, acquisitions, investments, and financings.
* Ability to provide clear, business-oriented counsel to clients on commercial technology issues.
* Soft Skills: Excellent writing, negotiation, and communication skills with the ability to handle complex matters independently and collaboratively.
Key Responsibilities
* Advise clients on a wide range of commercial technology transactions , including software licensing, SaaS agreements, product development deals, and vendor relationships.
* Draft and negotiate complex commercial agreements related to technology , data , and IP rights .
* Conduct IP and tech-related due diligence in connection with M&A, venture capital, and private equity transactions.
* Partner with attorneys across corporate, privacy, cybersecurity, and regulatory teams to provide integrated legal solutions.
* Support emerging companies and established enterprises in structuring and scaling their technology and digital assets.
