Our client, a prominent Amlaw 50 global law firm , is seeking a driven Associate Attorney to join its dynamic Technology Companies Group . This role offers a unique opportunity to advise innovative venture-backed companies and investors on private offerings, venture capital financings, and high-profile M&A transactions shaping the technology landscape.
Candidate Profile
* JD from a top-tier law school with an excellent academic record
* Active Bar Admission in the applicable jurisdiction , in good standing
* 3-4 years of substantive experience in venture capital , private offerings , and transactions for emerging companies
* Proven experience advising high-growth technology clients and investors in complex financings and M&A deals
* Exceptional research, analytical, drafting, and communication skills
* Ability to thrive in a fast-paced environment while maintaining meticulous attention to detail
* Highly motivated, collaborative, and client-focused professional with outstanding interpersonal skills
Key Responsibilities
* Advise emerging technology companies and investors on venture capital financings , private offerings , and corporate governance matters
* Support M&A transactions , including high-profile acquisitions and sales of technology businesses
* Draft , review , and negotiate investment agreements, stock purchase agreements, and other transactional documents
* Collaborate with attorneys across practices to provide comprehensive and strategic client support
* Stay current on emerging trends and developments in the technology and venture capital markets

Compensation & Benefits
* Competitive Salary : Expected annual base salary ranges from $260,000 to $365,000 , as determined by experience and market factors
* Eligibility for performance-based bonuses
