BCG Attorney Search
A law firm seeks an Associate Corporate Attorney in Danbury, Connecticut, to manage a range of corporate matters, including transactional work, governance advice, and compliance projects. The role involves close collaboration with partners and clients to provide practical, business-focused legal solutions.
Duties
Conduct due diligence and prepare summaries for mergers, acquisitions, joint ventures, and other corporate transactions. Draft, review, and negotiate corporate documents, including purchase agreements, shareholder and operating agreements, bylaws, and amendments. Advise clients on corporate governance practices, securities compliance, and regulatory requirements. Assist with entity formation, capitalization, and restructuring matters. Collaborate with tax, finance, and HR teams to address interdisciplinary legal issues. Support general counsel engagements such as policy development, board meeting preparation, and internal investigations. Manage multiple matters to meet deadlines, budgets, and firm performance metrics. Requirements
4 years of experience in corporate transactional and general counsel practice at a law firm or in-house legal department. Admission to the Connecticut State Bar and in good standing. Demonstrated track record in handling mid to large scale corporate transactions. Strong legal research, drafting, and negotiation skills. Excellent interpersonal and communication abilities, with a client service mindset. Education
Juris Doctor (JD) from an ABA accredited law school. Certifications
Licensed to practice law in Connecticut. Skills
Proficiency in drafting and negotiating complex corporate agreements. In-depth understanding of corporate law, securities regulations, and compliance frameworks. Familiarity with legal research platforms (e.g., Westlaw, LexisNexis). Exceptional analytical, problem-solving, and organizational skills.
