This position offers the opportunity to work on complex transactions representing private equity sponsors, strategic buyers, and portfolio companies in a variety of domestic and cross-border deals. The ideal candidate will bring strong corporate transactional experience and the ability to manage fast-paced, high-profile matters. Location: Duties: Advise clients on mergers, acquisitions, divestitures, recapitalizations, and joint ventures Represent private equity sponsors and portfolio companies in leveraged buyouts and exit transactions Draft and negotiate key deal documents, including stock and asset purchase agreements, shareholder agreements, and ancillary contracts Oversee and conduct due diligence reviews and coordinate integration planning Collaborate with colleagues in tax, regulatory, finance, and other relevant practice areas Manage deal timelines, communications, and closing processes Requirements: 3 to 6 years of experience in corporate M&A or private equity at a major law firm Experience working with private equity funds and strategic acquirers preferred Familiarity with deal structuring, term sheets, and risk allocation concepts Ability to independently manage aspects of transactions from initial stages through closing Education: Juris Doctor (JD) from an accredited U.S. law school Strong academic performance required Certifications: Admission to the bar in at least one U.S. jurisdiction (California preferred) Skills: Excellent drafting, negotiation, and legal analysis skills Strong project management and organizational capabilities Commercially minded with a client-service orientation Ability to handle multiple matters efficiently in a fast-paced environment Strong communication skills and attention to detail Competitive base salary aligned with experience and firm standards Comprehensive benefits package including health coverage, retirement options, and ongoing professional development resources Company info
