Duties and Responsibilities: Provide legal advice and support to startup, venture capital, and emerging company clients on corporate governance, financing transactions, and mergers and acquisitions. Draft, review, and negotiate a wide range of corporate agreements, including financing documents, shareholder agreements, and equity compensation plans. Conduct due diligence and manage transactions related to venture capital financings, mergers, acquisitions, and strategic investments. Collaborate with partners and senior attorneys to manage client relationships, develop new business opportunities, and participate in business development initiatives. Stay current with legal and industry developments impacting startup and venture capital clients and provide proactive counsel accordingly. Handle general corporate matters including entity formation, corporate structuring, and compliance. Requirements: Juris Doctor (JD) degree from an accredited law school; admitted to the State Bar of California. 3+ years of experience in a sophisticated corporate law practice with a focus on startup, venture capital, and emerging company representation. Strong understanding of corporate finance, securities laws, and mergers and acquisitions. Proven track record of drafting and negotiating complex corporate agreements and advising on corporate governance matters. Experience working with technology and/or life sciences companies preferred.
