The Senior Counsel I - Fertility & Clinical Operations will provide legal leadership and strategic counsel across the enterprise fertility and ambulatory care service lines. This role is ideal for an experienced healthcare attorney with 6-8 years of relevant legal experience, including deep knowledge of the regulatory and operational landscape of fertility services (REI), medical practices, ambulatory surgery centers (ASC), JV structures, and clinical provider engagement. The Senior Counsel I will support day-to-day operations, advise on regulatory and transactional matters, and collaborate closely with clinical, compliance, and executive teams to advance organizational goals.
Responsibilities
Serve as lead counsel for the company’s fertility and reproductive endocrinology (REI) service lines, providing legal advice on operational, compliance, regulatory, and transactional matters. Advise on state and federal healthcare laws and regulations applicable to fertility clinics and ASCs, including Stark, Anti-Kickback Statute, HIPAA, CLIA, FDA/embryo/tissue handling standards, and licensing/accreditation requirements. Provide legal support related to ASC licensure, accreditation, change of ownership (CHOW) filings, state-specific regulations, and ongoing operational compliance. Draft, review, and negotiate a wide range of agreements, including provider employment agreements, medical director agreements, partnership/joint venture agreements, lab and embryology contracts, and payor/vendor contracts. Collaborate with business development and physician engagement teams on physician alignment strategies, including practice acquisitions, onboarding, and compensation structures. Advise on patient-facing legal issues and risk management, including consents, privacy, telehealth, and cross-border reproductive services. Represent the organization in interactions with regulators, accreditation bodies, and external stakeholders. Provide education, training, and policy development across the organization to ensure consistent legal practices and risk mitigation. Contribute to enterprise-wide legal initiatives and special projects as assigned.
Qualifications
J.D. degree from an accredited law school; licensed and in good standing in at least one U.S. jurisdiction. 6-8 years of healthcare regulatory and transactional legal experience, with a strong emphasis on fertility/REI, JV structures, clinical operations, and ASC-related legal issues. In-house legal experience and at least 4 years law firm work advising fertility clinics, or physician practice groups strongly preferred. Demonstrated experience advising on and drafting physician employment, partnership, and medical director agreements. Familiarity with physician alignment models, compensation arrangements, and practice integration strategies. Proven ability to independently manage complex legal matters and collaborate with clinical and business teams. Strong understanding of state and federal regulatory requirements applicable to clinical operations, including ASC licensure, CLIA, HIPAA, FDA, and scope of practice. Excellent contract drafting and negotiation skills, with the ability to balance legal risk with business needs.
