A nationally respected law firm is seeking a Principal Attorney with extensive fund formation experience to join its Business Practice Group. This is an outstanding opportunity for an experienced attorney with a portable book of business to provide strategic counsel to a sophisticated client base across a range of industries. The position offers collaboration with talented attorneys across multiple offices and the chance to build and grow a fund-focused practice on a strong national platform. Location
Spokane, WA Duties
Lead and manage the formation of private investment funds, including: Venture funds Incubators and accelerators Private equity funds Crypto venture funds Draft and negotiate fund documents such as limited partnership agreements, subscription agreements, and private placement memoranda Advise clients on fund structuring, capital raising, and regulatory compliance Provide ongoing legal counseling to fund managers and investors Advise on corporate governance matters, fiduciary duties, and conflicts of interest Assist with federal and state regulatory filings and compliance requirements Advise on SEC regulations, including the Investment Company Act and Investment Advisers Act Draft transactional documents for fund-related investments Collaborate with other practice groups for multi-disciplinary transactional support Provide assistance on mergers, acquisitions, joint ventures, and corporate transactions involving fund clients Participate in client development, marketing, and relationship-building activities Stay current on legal and market developments in fund formation and private equity law Requirements
Minimum of 7 years of experience in fund formation, structuring, capital raising, and compliance Extensive experience with private equity, venture capital, real estate, or other illiquid asset funds Portable book of business required Demonstrated ability to handle sophisticated transactions independently Commitment to providing exceptional client service Strong organizational and project management skills Responsive communication style and professional demeanor Ability to thrive in a collaborative team environment Education
Juris Doctor (J.D.) degree from an ABA-accredited law school Certifications
Active license to practice law Skills
