Corporate Paralegal - In-House - Atlanta
Our client is seeking a very organized and detail-oriented Corporate Paralegal who will serve a key role in the M&A/Organic Growth legal team. This individual will support the General Counsel and his team. In this role, you will perform a lot of entity formation and work with the external counsel on corporate matters.
Responsibilities
The job duties for the corporate Paralegal may include:
Assists attorneys with M&A transactions, including due diligence review, UCC searches and filings, and document drafting. Coordinates and assists with the closing of transactions, coordination of signature pages, completion of filings, and assembly of closing books. Oversees corporate governance and maintenance of entities and corporate records, including filing annual reports and compiling updates to organizational charts and directors and officers lists. Registration of foreign entities and formation of new entities, including obtaining EIN numbers, filing d/b/a’s, and preparing charter documents and resolutions. Partners effectively with, and responds to requests from, other internal departments, including Risk, Human Resources, Compliance, Finance, and Tax Participates in, and collaborates on, legal department projects and cross-functional initiatives. Functions as a point of contact to resolve legal and business issues, and follows up on outstanding issues. Qualifications
Bachelor’s degree, technical certificate or the equivalent combination of education and experience Paralegal certificate a plus Minimum of six (6) years’ experience as a corporate paralegal engaged in the applicable job responsibilities Healthcare experience preferred Skills:
Excellent project management and time management skills Excellent communication, writing, and organizational skills Strong intuition and ability to anticipate the needs of colleagues Ability to maintain confidentiality High sense of urgency and ability to work in a fast-paced environment with shifting priorities and multiple responsibilities Self-starter with excellent problem-solving skills High degree of accuracy and attention to detail Experience with contract management system Excellent computer skills including proficiency in MS Office
