Corporate Counsel
to join our Headquarters team! The Staff Attorney is responsible for reviewing, drafting, and negotiating a wide variety of commercial contracts, including vendor agreements, service contracts, NDAs, and SaaS agreements, to support the company\'s operations and growth. This role provides legal guidance on day-to-day commercial and operational issues, ensuring compliance with corporate policies, risk management goals, and legal requirements. The Staff Attorney collaborates with cross-functional teams, develops and maintains standardized contract templates and internal processes, and assists in creating a contract management system. Additionally, the position involves ongoing legal support for regulatory compliance, risk mitigation, and other business matters, while working proactively to identify legal risks and deliver practical, business-oriented solutions. What You Will Do
Contract Review and Negotiation
Review, draft, and negotiate a broad range of contracts, including vendor agreements, service contracts, NDAs, SaaS agreements, and other commercial contracts. Research applicable law for various jurisdictions to provide concise, commercially focused legal advice on contract terms, obligations, and risks. Cross-Functional Collaboration and Compliance
Collaborate with cross-functional teams to ensure contracts align with corporate policies, signing authority, risk management goals, and legal requirements. Provide ongoing legal support for a variety of business matters, including compliance with regulatory requirements, risk mitigation, and operational challenges. Contract Management and Process Improvement
Develop and maintain standardized contract templates, playbooks, and internal processes to streamline contract lifecycle management. Assist in the creation and implementation of a contract management system to track key dates, obligations, and renewal processes. Training and Legal Support
Support training of non-legal personnel on contract basics, compliance, or legal issues. Identify legal risks proactively and deliver practical, business-oriented solutions. Education
Juris Doctor (JD) from an accredited law school. Active license to practice law in Arizona (preferred) or another U.S. jurisdiction. Experience
Minimum of 3 years of experience practicing law, preferably in a mid-size law firm or in-house legal department. Experience with business transactions, including commercial contracts and familiarity with corporate families. Strong academic background with excellent writing, project management, and interpersonal skills and experience in contract review, drafting, and negotiation. Demonstrated ability to operate with a high level of independence, proactively identify potential legal and business risks, balance multiple business demands, and work collaboratively with internal business clients. Ability to manage relationships with stakeholders at all levels of the company, including those outside of direct reporting lines. Dedication to client service, ability to analyze complex and ever-changing situations, ability to solve problems and execute on solutions. High level of professionalism and dedication to providing effective and practical legal support to internal teams. Ability to solve complex problems and provide timely, business-focused solutions. Strong work ethic, with a sense of urgency in achieving business goals while managing multiple, overlapping timelines. Demonstrated ability to identify legal risks proactively and deliver practical, business-oriented solutions. Licenses/Certifications
