Position Summary
We are seeking a highly motivated Mid-Level Corporate/M&A Transactions Attorney with 5-7 years of relevant experience to join our team. The ideal candidate will have a strong background with a variety of corporate matters, including M&A, entity formation, corporate governance, commercial contracts, and private financings. Key Responsibilities
Support M&A transactions from inception through closing, including due diligence, drafting, negotiation, and closing documentation. Draft, review, and negotiate a wide range of commercial agreements (NDAs, service agreements, vendor/customer contracts, etc.). Support general corporate counseling and day-to-day business matters. Collaborate closely with other attorneys, clients, and professionals in a team-oriented environment. Qualifications
J.D. from an accredited law school and active member in good standing of the Virginia Bar. 3–6 years of experience in a corporate transactional practice, preferably with a law firm or in-house legal department. Strong organizational, drafting and analytical skills. Ability to manage multiple projects in a fast-paced environment. Excellent communication and interpersonal skills. A proactive and client-focused mindset.
