In this role, you will have the opportunity be responsible for subsidiary management, as well as legal and regulatory compliance. You will work closely with the Deputy General Counsel on various related matters. Responsibilities: Provide attorneys and others with answers to state-by-state procedural and filing questions, obtaining vendor estimates for potential services as requested, and providing general assistance to attorneys as necessary. Obtain certified copies of corporate documents, foreign and domestic certificates of good standing, and various other documents. Assist with forming, registering, maintaining, and dissolving legal entities around the world, including with respect to confirmation of name availability, name reservation, coordination of compliance filings and all necessary documents, and preparing and maintaining corporate records and minute books in accordance with applicable law. Arrange apostilles and legalizations. Draft by-laws, amendments, consents, minutes, stock transfers and ledgers for corporations, limited liability companies, and other legal entities. Manage foreign qualifications in the US and the preparation and filing of annual reports by 3rd party provider wherever qualified. Coordinate board and shareholder meetings for international subsidiaries, filing of annual reports, and other compliance filings in jurisdictions where entities are domiciled and/or qualified to do business. Draft documents including, but not limited to, resolutions, officer's certificates, ownership certifications, structure charts, etc. and obtaining appropriate signatures for such documents. Assist in the preparation and filing of documents with the Securities and Exchange Commission (SEC) and other regulatory bodies, inclusive of the Company’s annual proxy statement. Maintain the entity database (currently Diligent Entities), updating as needed for reorganizations, appointment and address changes, etc., run periodic reports in support of Treasury, Tax, and Contracts team regarding beneficial ownership, etc. Prepare NYSE required filings through Listing Manager. Provide support as needed for the Company’s annual meeting, D&O Questionnaires, meeting logistics, IOE, script, agenda, rules and procedures. Offer support with respect to legal invoices including management and processing through the Company’s ERP. Conduct legal research and maintain up-to-date knowledge of corporate governance and regulatory matters. Manage firm relationships with applicable vendors including those providing legal services, corporate filing services and representation services (e.g. outside counsel, Diligent entities, CT & CSC). Provide support as needed for board meetings, including preparing agendas, meeting materials, and drafting minutes. Skills & Experience Required: 8+ years of paralegal experience, with experience in house at a global company and/or in a large law firm. with a Bachelor's degree or equivalent experience and education combined Knowledge and experience with general recording / filing and/or electronic filing with county, state, federal and international jurisdictional agencies Highly proficient computer and virtual communication skills; experience with Diligent Boards, Diligent entities, SharePoint (CT/CSC Legal Agents a plus.) Ability to interact with all levels of legal staff and personnel, including C-suite executives, middle management and support staff Be collaborative and team-oriented with the ability to work across all technology platforms Excellent attention to detail and able to follow up and follow through Strong organizational, writing, communications and time management skills, as well as a self-starter with a collaborative get the job done attitude Preferred Skills Certifications: Notary certification preferred. Target base salary range for this job requisition is anticipated to be approximately $105,000 - $120,000 annualized.
