Corporate Capital Markets Securities Associate Counsel or Partner Attorney for Entrepreneurial Boutique
A boutique corporate and securities law firm is seeking an experienced Capital Markets & Securities Attorney to join its fast-paced, entrepreneurial team. The firm focuses on representing small and mid-cap clients in a range of sophisticated transactions including public offerings, PIPEs, uplistings to national exchanges, and mergers & acquisitions. Key Responsibilities: Advise clients on public and private offerings of equity, debt, and convertible securities. Prepare and review SEC filings including registration statements, prospectuses, and periodic reports. Ensure compliance with the Securities Act of 1933 and the Exchange Act of 1934. Support clients in navigating uplisting processes from OTC to NASDAQ/NYSE. Counsel clients on corporate governance, fiduciary duties, and compliance matters. Coordinate with investment banks, funds, and placement agents in capital markets transactions. Qualifications: Juris Doctor (JD) from an accredited law school. Minimum 8 years of experience handling capital markets and securities law matters. Strong familiarity with SEC reporting obligations. Excellent legal drafting, analytical, and negotiation skills. Ability to handle multiple projects under tight deadlines. Preferred Experience: Experience advising small- and mid-cap public companies.
