Opportunity As an Assistant General Counsel for Technology and Managed Services, you will advise on and draft complex, multi‑year managed‑services, outsourcing, systems implementation, application development & maintenance, software‑as‑a‑service, artificial intelligence, big data, analytics, and cloud computing agreements. You will work closely with EY’s legal group and partner with other GCO teams across the United States and internationally. The role requires a deep understanding of technology contracts, a strong transactional background, and the ability to manage multiple priorities in a fast‑moving environment.
Your Key Responsibilities
Draft, update and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.
Identify and assess legal risks related to technology underpinning Managed Services Agreements.
Collaborate with US GCO members and local counsel in other EY member firms.
Coordinate legal resources on managed services projects.
Work with cross‑functional teams (Data Privacy, Talent, Information Security, Tax) to ensure compliance.
Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.
Develop and enhance policies and guidance related to managed services and technology services.
Manage workflow in a dynamic environment, maintaining responsiveness and accountability to leadership.
Build relationships with GCO colleagues to deliver exceptional client service.
Develop and deliver training on Technology & Managed Services Agreements and share best practices across the legal network.
Qualifications
8+ years of complex services and technology transactional experience, including drafting and leading negotiations of Technology & Managed Services Agreements.
Experience negotiating with client internal counsel, outside law firms and procurement.
Proficiency in developing contracting templates, playbooks and standards.
Knowledge of data privacy, intellectual property law and technology use in agreements.
Experience with cross‑border contracting matters.
Ability to assess and negotiate terms for current and emerging technologies (cloud, AI, etc.) and explain related legal and business risks.
Excellent oral and written communication, negotiation, and interpersonal skills.
High cultural and emotional intelligence and resilience in dynamic environments.
Ability to work independently and collaboratively across functions and geographies.
Strong analytical skills to articulate complex legal and contractual concepts.
Proactive with high workload capacity and efficient prioritization.
Solution oriented with a focus on exceptional client service.
Experience in a managed services counsel role in a technology or consulting firm.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Member in good standing of a State Bar with knowledge of continuing legal education requirements.

Base salary range (US): $210,900 to $406,000 (location‑specific ranges vary). Total rewards include medical/dental coverage, pension, 401(k), and extensive paid time off.
