Assistant General Counsel, Technology & Managed Services – Senior Manager Location: Anywhere in Country (remote).

Overview Assistance General Counsel in the Technology & Managed Services group, providing legal advice and support for managed services, outsourcing, SaaS agreements and related technology contracts for EY clients.

Key Responsibilities

Draft, update and negotiate client‑facing Technology & Managed Services agreements, including advising on contractual strategy and risk.

Advise on legal risks of technology underpinning Managed Services agreements.

Collaborate with US GCO members and local counsel in other EY member firms.

Coordinate legal resources for managed services projects.

Support cross‑functional teams (Data Privacy, Talent, Information Security, Tax) as needed for agreements.

Ensure accuracy and sufficiency of contractual documentation to protect EY interests.

Develop and enhance policies relevant to managed services and technology.

Manage workflow in a dynamic environment, demonstrating responsiveness and reliability.

Build relationships within GCO and the legal network to deliver exceptional client service.

Develop and deliver training on Technology & Managed Services agreements and best practices.

Qualifications

8+ years of complex services and technology transactional experience, including drafting and leading negotiation of Technology & Managed Services agreements.

Experience negotiating with client’s internal counsel, outside law firms, and procurement.

Experience developing contracting templates, playbooks, and standards.

Knowledge of data privacy, intellectual property law, and technology provisions in services agreements.

Experience with cross‑border contracting and data transfer.

Strong understanding of current and emerging technologies (cloud, AI, etc.) and ability to explain related risks.

Excellent oral and written communication skills.

Strong negotiation and interpersonal skills.

High cultural and emotional intelligence, resilience, and flexibility.

Ability to work independently and collaboratively across functions and geographies.

Ability to articulate complex legal and contractual principles and balance legal and commercial risk.

Highly responsive with the capacity to manage high workload and competing priorities.

Solution‑oriented with a focus on exceptional client service.

Managed services counsel experience in a technology or consulting organization.

Bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

State bar membership and good standing, including continuing legal education compliance.
