We are seeking a detail-oriented Corporate Paralegal to support our legal team in managing corporate governance, entity maintenance, and transactional matters. This role requires strong organizational skills, attention to detail, and the ability to work in a fast-paced environment while handling sensitive and confidential information.
Key Responsibilities
Prepare and maintain corporate records, including formation documents, bylaws, resolutions, and meeting minutes.
Assist with entity management, including registrations, annual reports, and compliance filings across multiple jurisdictions.
Support mergers, acquisitions, and other corporate transactions, including due diligence and closing documentation.
Draft and review basic agreements and legal documents under attorney supervision.
Coordinate with internal teams and external counsel to ensure timely completion of filings and compliance requirements.
Maintain and update corporate governance databases and document management systems.
Research state and federal corporate compliance requirements as needed.
Qualifications
Bachelor's degree or equivalent experience; Paralegal certification preferred.
5+ years of experience as a corporate paralegal in a law firm or in-house legal department.
Strong knowledge of corporate governance, entity management, and transactional processes.
Proficiency in Microsoft Office Suite and legal document management systems.
Excellent organizational, communication, and time-management skills.
Ability to handle confidential information with discretion.
