A law firm seeks an ERISA & Executive Compensation Attorney with 20 years of transactional and compliance experience to support its benefits practice. The successful candidate will advise on complex retirement, welfare, and executive compensation matters, ensuring regulatory compliance and strategic plan design for sophisticated clients. Duties
- Advise on qualified retirement plans (e.g., 401(k), defined benefit) and non-qualified deferred compensation programs.
- Draft and negotiate plan documents, amendments, and employment agreements covering executive compensation arrangements.
- Conduct compliance reviews and prepare corrective filings under ERISA, IRS, and DOL regulations.
- Advise on fiduciary duties, prohibited transactions, and Form 5500 reporting requirements.
- Collaborate with tax, corporate, and litigation teams to integrate ERISA analysis into broader transactions.
- Provide guidance on equity-based compensation (e.g., stock options, RSUs) and Section 280G "golden parachute" considerations.
- Mentor junior attorneys and coordinate with benefits administration vendors.
Requirements
- 20 years of ERISA and executive compensation transactional experience.
- Demonstrated expertise in drafting plan documents and regulatory filings.
- Proven track record advising on M&A benefit plan issues and compensation benchmarking.
- Strong analytical skills with in-depth knowledge of ERISA, IRC Sections 401(k), 403(b), 409A, 457(f), and 280G.
- Excellent legal writing, negotiation, and client counseling abilities.
- Ability to manage multiple high-profile matters under tight deadlines.
Education
- Juris Doctor (J.D.) from an ABA-accredited law school.
Certifications
- Admission to the New Jersey State Bar (or eligibility through reciprocity).

- Expertise with ERISA plan drafting and compliance software (e.g., PeopleSoft, Workday Benefit Management).
