Overview
LHH is looking for a Legal Secretary to for a law firm in Wheaton, IL for their Corporate Practice Group. This is an exciting opportunity to work alongside experienced attorneys and professionals in a collaborative, team-oriented environment. This is an in-office role.
Key Practice Areas
The ideal candidate will have experience in one or more of the following:
- Mergers & Acquisitions
- Private Equity
- Debt Finance
- Asset Finance & Securitization
- Private Funds
- Investment Management
Responsibilities
- File new business formation and dissolution documents
- Obtain certificates of good standing
- Complete and file SS-4 forms to obtain EINs
- Assist with all aspects of deal closings (signature pages, closing certificates, drafting federal/state documents)
- Compile and maintain corporate minute books
- Prepare and file qualification and withdrawal applications
- Prepare stock certificates, resolutions, and statutory filings
- Handle pre-closing, signature page distribution, and post-closing documentation
- Order certified copies and good standing certificates
- Prepare and file UCC statements, amendments, and termination statements
- Draft closing checklists and manage post-closing execution of documents
- Communicate with vendors as needed
Familiarity with Westlaw, Lexis, and SEC filings is a plus.
Qualifications
- Minimum 3 years of corporate/transactional experience providing high-quality client service
- Strong organizational skills, attention to detail, and ability to multitask independently
- Excellent written and interpersonal communication skills
- Professional demeanor with commitment to confidentiality and client service
Compensation
- 3+ years’ experience: $50,000
- 5+ years’ experience: $60,000
- 8+ years’ experience: $70,000
