Technology Transactions Attorney: 3rd-5th year — Cooley LLP in Palo Alto seeks candidates with three to five years of experience in technology transactions, with emphasis on high technology commercial transactions and intellectual property licensing. Substantive experience with drafting and negotiating complex licensing arrangements is preferred, including agreements involving artificial intelligence counseling and deployments, software and content licensing, partnering and distribution, application hosting, cloud hosting services, intellectual property development and technology transfer relationships. This role does not involve intellectual property litigation or prosecution/registration, but may include advising on transactional privacy issues and regulatory matters (including the emerging regulatory environment for artificial intelligence systems). Responsibilities
Drafting and negotiating complex licensing arrangements, including artificial intelligence counseling and deployments, software and content licensing, partnering and distribution, application hosting, and cloud hosting services. Advising on transactional privacy issues, regulatory matters, and related compliance considerations in technology transactions. Provide commercially-minded and pragmatic counsel; tailor customized agreements to meet client needs. Manage and prioritize multiple projects, working independently or as part of a team in a high-energy environment serving emerging companies and established enterprises.
Qualifications
Three to five years of experience in technology transactions, with emphasis on high technology commercial transactions and intellectual property licensing. Substantive experience drafting and negotiating complex licensing arrangements; experience with AI-related agreements is a plus. Strong analytical, problem-solving, and drafting abilities; ability to learn quickly and contribute to the practice group’s training environment. Desire to stay current on related legal developments and to contribute to a collaborative team culture.
Compensation and Benefits
The expected annual pay range for this position is $260,000-$365,000. Final offer amount will depend on geographic location, applicable experience, and skillset. We offer elective benefits including medical, health savings account, dental, vision, flexible spending accounts, pre-tax commuter benefits, life insurance, AD&D, long-term disability, vacation and sick time, paid holidays, and parental/fertility benefits.
