The Opportunity As Assistant General Counsel for Technology and Managed Services, you will advise, draft, update, and negotiate client‑facing agreements for managed services, outsourcing, system implementation, application development and maintenance, software licenses, software‑as‑a‑service, artificial intelligence, big data, analytics, cloud computing, and related technology services. You will work closely with other GCO groups in the United States and other jurisdictions, managing multiple competing priorities in a compressed timeframe and interacting regularly with senior members of the organization.
Your Key Responsibilities
Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Advise on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborate closely with members of the US GCO and local counsel in other EY member firms.
Coordinate legal resources on managed services projects.
Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary.
Advise on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services.
Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership and other GCO members.
Build relationships and team seamlessly with other members of GCO to deliver exceptional service to clients of GCO.
Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network and business, where requested or appropriate.
Qualifications
8+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading agreement negotiations.
Experience negotiating across client’s internal counsel, outside law firms, and procurement.
Experience developing contracting templates, playbooks, and standards.
Experience in data privacy, intellectual property law, and technology provision in the context of Technology & Managed Services Agreements.
Experience with cross‑border contracting (including employee matters such as transfer laws, local country agreements, and data transfer).
Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI) and explain related legal and business risks.
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.
High degree of cultural and emotional intelligence, with demonstrated resilience, flexibility, and adaptability.
Ability to work independently and team effectively with colleagues in other functions and geographic locations.
Ability to grasp, understand, and accurately articulate complex legal and contractual principles, balancing risk from both legal and commercial perspectives.
Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.
Solution oriented with focus on exceptional client service.
Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar, including being current on individual state Continuing Legal Education requirements.
